The provider of tokenized financial infrastructure has agreed to merge with the Nasdaq-listed FG Imperii Acquisition Corp., allowing the company to list its shares on the public markets. If the deal receives necessary shareholder and regulatory approvals, tZERO will trade on the NYSE American exchange under the ticker TZRO.
The merger is valued at approximately $325 million to $350 million, and the resulting entity may receive as much as $231 million in trust cash. Chief Executive Officer Alan Konevsky said the move is intended to provide tZERO with a more independent footprint to help it scale its regulated technology and connectivity. The transaction is slated to close in early 2027.
